1. Agreement
These Terms & Conditions ("Terms") govern your use of the Accordsign electronic-signature service. The parties to this agreement are you (whether on your own behalf or as the authorised representative of a business) and Seed Data Systems, a company registered in Gujarat, India, with its registered office at Samatva Bunglows, Ahmedabad, Gujarat, India (the "Company"). References to "we", "us", and "our" in these Terms refer to the Company.
By creating an account, sending an envelope, or otherwise using Accordsign, you accept these Terms. If you do not accept them, do not use the Service.
2. About Accordsign
Accordsign is an electronic-signature platform that lets users upload documents, place signature fields, send envelopes for signing, and download legally valid signed records with an audit trail. The Service does not provide:
- Legal advice on the enforceability of any specific contract or signature
- Identity verification of signers beyond Aadhaar OTP (where Aadhaar eSign is used) or email-link delivery
- Notarisation or witnessing of signatures
- A substitute for a registered legal practitioner
3. Eligibility
To use Accordsign you must:
- Be at least 18 years old
- Be legally capable of entering into binding contracts
- If signing up on behalf of a business, confirm you are authorised to bind that business to these Terms
4. Account registration and security
You are responsible for providing accurate registration information and keeping your account credentials secure. You agree to notify us immediately of any unauthorised access or use of your account.
5. Subscription plans and billing
Accordsign offers two plan structures:
- Individual (pay-as-you-go): document credits purchased in packs.
- Business (per-user subscription): monthly or annual billing.
Plans are not interchangeable: once you sign up for an Individual or Business plan, conversion between plan structures is not supported.
Other billing terms:
- Pay-as-you-go credits are valid for 12 months from the purchase date. Unused credits at the end of the validity period are forfeited.
- Business plans are billed monthly or annually. Annual plans receive a 10% discount and are billed in advance.
- Auto-renewal: monthly and annual subscriptions auto-renew unless cancelled before the renewal date.
- Pricing changes: we provide 30 days' notice of any price increase. The current billing cycle honours the price at signup.
- Taxes: all amounts are exclusive of applicable taxes (including GST in India).
6. Aadhaar eSign-specific terms
- Aadhaar eSign authentication is performed by a CCA-licensed eSign Service Provider (currently Surepass Technologies).
- Accordsign does not store Aadhaar numbers or biometric data.
- By using Aadhaar eSign, you confirm that you are authorised to use the Aadhaar number you provide for the purpose of signing the document in question.
- Aadhaar eSign is subject to UIDAI regulations and the Information Technology Act 2000.
7. Acceptable use
You agree not to use Accordsign to:
- Send threats, harass any person, commit fraud, or distribute illegal content
- Infringe any intellectual property right
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Impersonate any person or misrepresent your authority to sign a document
You are responsible for the legality of documents you sign and the enforceability of those signatures in your jurisdiction.
8. Document handling and ownership
- You retain all rights to your documents and content.
- You grant us a limited, non-exclusive licence to store, process, and transmit your documents only as needed to deliver the Service.
- We do not claim ownership of your content.
- We do not use your documents for AI training or any external purpose.
9. Service availability
We target high uptime but do not guarantee 100% availability. Scheduled maintenance windows are announced in advance where possible. We have no liability for service interruptions caused by force majeure events, third-party service outages, or planned maintenance.
10. eSign compliance overview
- ESIGN Act (US) and UETA: Accordsign supports the requirements for legally valid electronic signatures under these laws.
- eIDAS (EU): Accordsign supports the requirements for "advanced electronic signatures". Accordsign is not a Qualified Trust Service Provider (QTSP).
- IT Act 2000 (India), Section 3A: Aadhaar eSign performed by a CCA-licensed eSign Service Provider is legally valid as an electronic signature under Indian law.
- HIPAA (US healthcare): Accordsign supports secure document handling but does not act as a Business Associate unless a separate Business Associate Agreement (BAA) is signed. Customers handling Protected Health Information should contact us for BAA discussion before using the Service.
11. Termination
- Either party may terminate this agreement for material breach by the other party.
- We may suspend or terminate accounts for violations of these Terms, suspected fraud, or in response to a law-enforcement request.
- On termination, you have 30 days to export your data. After 30 days, account data is deleted per the retention schedule in the Privacy Policy.
12. Limitation of liability
To the maximum extent permitted by law, the Company's total cumulative liability arising out of or in connection with this agreement is capped at the fees paid by you to the Company in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, or punitive damages, including loss of profits, data, or business opportunity.
13. Indemnification
You agree to indemnify and hold harmless the Company, its officers, employees, and contractors against claims arising out of your use of the Service in breach of these Terms, your violation of any law, or your infringement of any third party's rights. Equally, we agree to indemnify you against claims that the Service, when used in accordance with these Terms, infringes any third party's intellectual property rights.
14. Refund policy
- Credit packs and subscription payments are non-refundable.
- Cancelling a Business subscription stops future billing but does not refund the current period.
- One carve-out: if we fail to deliver a working signed document due to a platform error on our side, we will credit the affected document back to your account.

15. Data processing (for GDPR / DPDP Act customers)
- For documents you upload to Accordsign, you are the Data Controller and we are the Data Processor.
- We process data only according to your instructions and as required to deliver the Service.
- Customers subject to GDPR or the DPDP Act may request a signed Data Processing Agreement (DPA) by emailing connect@accordsign.app with "DPA:" in the subject line.
16. Governing law and jurisdiction
- Governing law: the laws of India.
- Jurisdiction: the courts of Ahmedabad, Gujarat.
- Customers in jurisdictions with mandatory consumer-protection laws may have additional rights under their local law that these Terms cannot waive.
17. Dispute resolution
- First, try to resolve any dispute by emailing support@accordsign.app.
- If unresolved within 30 days, the dispute may proceed to the courts of Ahmedabad, Gujarat, or to arbitration if both parties mutually agree.
18. Changes to these Terms
We may update these Terms from time to time. We will provide 30 days' notice of material changes by email or via a banner on the Service. Continued use after the effective date constitutes acceptance. If you do not agree to the updated Terms, you may close your account.
